BenchBuddy Terms of Service

1. Agreement to Terms
By accessing or using the BenchBuddy website, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
BenchBuddy reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
2. What BenchBuddy Is — And What It Is Not
BenchBuddy is a coordination and communication platform that helps season ticket holders organize the sharing of their tickets with friends, family, and trusted associates. Specifically:
- BenchBuddy is a coordination tool.It helps you track which games are available, who wants to attend, and what each person's share of the face-value cost is.
- BenchBuddy does not sell, resell, transfer, distribute, or broker tickets. At no point does BenchBuddy take possession of, control, or facilitate the electronic transfer of any ticket.
- BenchBuddy does not process payments for tickets. Any cost-sharing or reimbursement between users is handled entirely outside the platform using third-party payment services (e.g., Venmo, Zelle, PayPal) chosen by the users themselves.
- BenchBuddy does not replace your team's official ticketing app. All actual ticket transfers must be completed by users through the official channels designated by their team or league (e.g., the MLB Ballpark App, the NBA App, Ticketmaster).
Think of BenchBuddy as the group chat and shared calendar for your season tickets — not the ticket itself.
3. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
4. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify BenchBuddy immediately if you suspect unauthorized use of your account
BenchBuddy reserves the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete.
5. User Conduct and Acceptable Use
By using BenchBuddy, you agree that you will NOT:
- Use the Service to sell, resell, or broker tickets at any price — including above, at, or below face value — through the platform
- Use the Service to facilitate ticket transactions with strangers or the general public; BenchBuddy is designed for sharing among people who know each other
- List, advertise, or offer tickets for sale to the public through BenchBuddy or use BenchBuddy information to do so on other platforms
- Seek to profit from ticket sharing; any cost-sharing must be limited to face-value reimbursement as determined by the original purchase price
- Violate the terms of your season ticket agreement, your team's ticket policies, or any applicable league rules
- Use the Service in any way that constitutes or facilitates "Broker Activity" as defined by MLB, NBA, or any other league's ticket holder agreements
- Use automated scripts, bots, scrapers, or any automated means to access the Service
- Attempt to interfere with, compromise, or disrupt the Service or its infrastructure
- Impersonate another person or misrepresent your affiliation with any person or entity
- Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law
6. Sharing Circles
"Sharing Circles" are groups of users who coordinate ticket sharing through BenchBuddy. By creating or joining a Sharing Circle, you acknowledge:
- You are responsible for ensuring that the people in your Sharing Circle are known to you personally (friends, family, or trusted associates)
- BenchBuddy does not verify the identity, trustworthiness, or reliability of any user in your Sharing Circle
- All arrangements made within a Sharing Circle — including who attends which games, cost-sharing amounts, and reimbursement — are agreements between the members of that Circle, not with BenchBuddy
- BenchBuddy is not a party to, and has no liability for, any disputes between Sharing Circle members regarding tickets, payments, attendance, or any other matter
7. Cost-Sharing Calculations
BenchBuddy may display cost-sharing calculations based on the face value of tickets as provided by the season ticket holder. You acknowledge and agree that:
- These calculations are informational only and are provided as a convenience to help users coordinate reimbursement
- BenchBuddy does not verify the accuracy of face-value amounts entered by users
- BenchBuddy does not collect, process, hold, or transmit any payments between users
- All payments and reimbursements are made directly between users, outside of the Service, using methods chosen by the users
- BenchBuddy has no responsibility for payments that are late, incorrect, incomplete, or never made
8. No Affiliation Disclaimer
BenchBuddy is an independent company. BenchBuddy is NOT affiliated with, endorsed by, sponsored by, or connected to:
- Major League Baseball (MLB), the National Basketball Association (NBA), or any other professional sports league
- Any professional sports team, including but not limited to the San Diego Padres, Golden State Warriors, or any other franchise
- Ticketmaster, Live Nation, AXS, or any ticketing platform or service
- The MLB Ballpark App, the NBA App, or any official team or league mobile application
- StubHub, SeatGeek, Vivid Seats, or any ticket marketplace or resale platform
Any team names, league names, logos, or trademarks referenced on the Service are the property of their respective owners and are used solely for identification purposes. Their use does not imply any affiliation or endorsement.
9. Compliance with Team and League Policies
You are solely responsible for understanding and complying with the terms of your season ticket agreement and any applicable team or league policies regarding ticket transfers, sharing, and forwarding. BenchBuddy provides a coordination tool; it does not provide legal advice about what your specific ticket agreement permits.
BenchBuddy encourages all users to review their season ticket holder agreements carefully and to use only the official transfer methods designated by their team (e.g., the "Forward" feature in the MLB Ballpark App).
10. Intellectual Property
The Service and its original content, features, and functionality are owned by BenchBuddy and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without BenchBuddy's prior written consent.
11. User Content
You retain ownership of any content you submit to the Service (e.g., profile information, game availability selections, messages within Sharing Circles). By submitting content, you grant BenchBuddy a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of operating and improving the Service.
You are solely responsible for the content you submit and represent that it does not violate any third party's rights or any applicable law.
12. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, BenchBuddy does not warrant or guarantee that:
- The Service will be uninterrupted, secure, or error-free
- Any ticket transfer coordinated through the Service will be successfully completed in the team's official app
- Any cost-sharing calculations are accurate or that reimbursements will be received
- The Service complies with the specific terms of your season ticket agreement (which vary by team and are subject to change)
- Your team or league will not take adverse action against your ticket account for any reason
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BENCHBUDDY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of tickets, ticket privileges, or season ticket accounts
- Disputes between Sharing Circle members
- Failed or incomplete ticket transfers in third-party applications
- Unpaid or disputed cost-sharing reimbursements between users
- Actions taken by any sports team, league, or venue against your account
- Loss of data, revenue, or profits
IN NO EVENT SHALL BENCHBUDDY'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO BENCHBUDDY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.
14. Indemnification
You agree to indemnify, defend, and hold harmless BenchBuddy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your use of the Service
- Your violation of these Terms
- Your violation of any season ticket agreement, team policy, or league rule
- Any dispute between you and another user regarding tickets, payments, or Sharing Circle arrangements
- Your violation of any applicable law or regulation
15. Termination
BenchBuddy may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at hello@getbenchbuddy.com.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination — including Disclaimers, Limitation of Liability, Indemnification, and Governing Law — shall survive.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Diego County, California.
